Acceptance of terms

These Terms of Service govern your access to and use of PayTrace, the COD remittance reconciliation platform available at paytrace.in and its associated API at api.paytrace.in. By creating an account, initiating a free trial, or making a payment to access a subscription, you confirm that you have read, understood, and agreed to be bound by these terms in full.

If you are using PayTrace on behalf of a business entity — a company, partnership, proprietorship, or any other legal entity — you represent and warrant that you have the authority to bind that entity to these terms, and that your agreement constitutes the agreement of the entity. In that case, references to "you" in these terms include both you as an individual and the entity you represent.

If you do not agree with any part of these terms, you must not create an account or use the PayTrace service. Continued use of PayTrace after any changes to these terms are posted constitutes acceptance of the revised terms.

Description of service

PayTrace is a software-as-a-service platform that allows Indian D2C businesses to reconcile their COD remittances by comparing Shopify order export files against courier remittance reports. The service automatically identifies discrepancies including short payments, missing remittances, and RTO anomalies, and produces an exportable audit report along with a formal dispute letter template for use with courier partners.

PayTrace is a reconciliation and audit tool. It processes the files you upload, applies a set of matching and comparison rules, and surfaces discrepancies for your review. The accuracy and completeness of the results depend on the quality and format of the files you upload. PayTrace does not guarantee that it will identify every discrepancy in every file, and the output of PayTrace should be treated as a decision-support tool rather than a substitute for your own financial review and judgment.

We reserve the right to modify, update, enhance, or discontinue any feature of the service at any time. Where a change materially reduces the functionality available to paying subscribers, we will provide reasonable advance notice. Minor updates, bug fixes, performance improvements, and additions to the service may be made at any time without prior notice.

Account registration

To use PayTrace you must create an account using a valid email address or through Google Sign-In. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. If you become aware of any unauthorised access to your account, you must notify us immediately at [email protected].

You agree to provide accurate and complete information when creating your account and to keep that information up to date. Accounts created with false, misleading, or another person's information may be terminated without notice. Each account is for use by a single user or business entity. You may not share your account credentials with others or allow multiple individuals to access a single account simultaneously.

You must be at least 18 years of age to create a PayTrace account. By registering, you confirm that you meet this requirement. PayTrace is a business tool intended for use by operators of ecommerce businesses and is not designed for or directed at individuals under 18.

Free trial

New accounts are granted a free trial period of seven days from the date of subscription sign-up. During this period, you have access to the full reconciliation functionality of PayTrace — including report exports and dispute letter generation — subject to the same monthly run limit as the plan you selected (4 runs per month on the Solo plan, 12 on the Agency plan). The free trial is designed to give you a complete experience of the product so that you can make an informed decision about whether to continue.

The free trial begins at the moment you complete the subscription sign-up flow, regardless of whether you use the service on that day. Trial periods are not paused for inactivity and do not restart if you sign out and sign back in. Each email address is eligible for one free trial only. Creating multiple accounts with different email addresses in order to extend your access to the free trial is not permitted and may result in all associated accounts being terminated.

At the end of the seven-day trial period, access to reconciliation features will be restricted until your subscription's first billing cycle begins. Your account will remain accessible and your sign-in credentials will continue to work, but you will need to wait for your subscription to activate to run further audits. Your account settings and brand configurations are not lost — they remain intact when your paid access begins.

No card required: The free trial requires no payment details. You will only be asked for payment information if and when you choose to activate a subscription at the end of your trial.

Subscription and billing

After the free trial period, continued access to PayTrace's reconciliation features requires an active paid subscription. Subscription fees are charged on a monthly basis and are processed through Razorpay, our payment partner. By subscribing, you authorise Razorpay to charge the applicable subscription fee to your chosen payment method at the start of each billing cycle.

Pricing

Current subscription pricing is displayed on the PayTrace website at paytrace.in. We reserve the right to change subscription pricing at any time. Where pricing changes affect existing subscribers, we will provide at least 14 days advance notice by email before the new pricing takes effect. Your continued use of the service after the new pricing takes effect constitutes acceptance of the revised pricing.

Billing cycle

Subscriptions are billed on a monthly basis from the date your subscription is activated. Each billing cycle renews automatically unless you cancel before the renewal date. You are responsible for ensuring that your payment method remains valid and that sufficient funds are available at the time of each renewal. If a payment fails, access to the service may be suspended until the outstanding payment is resolved.

Cancellation

You may cancel your subscription at any time from the Account section of the PayTrace dashboard, or by contacting us at [email protected]. Cancellation takes effect at the end of your current billing cycle, meaning you retain full access to the service until the period you have already paid for expires. We do not offer prorated refunds for cancellations made partway through a billing cycle. After the billing cycle ends, your account will revert to a restricted state and you will need to resubscribe to run further audits.

Refunds

Given the nature of software services and the availability of a full-featured free trial, subscription payments are generally non-refundable. If you believe a charge was made in error — for example, a duplicate charge or a charge made after you had cancelled — please contact us at [email protected] within 7 days of the charge and we will investigate and resolve the issue promptly. We handle all billing disputes in good faith and will issue refunds where a charge was clearly made in error.

Payment security: PayTrace never receives or stores your card details, UPI credentials, or bank account information. All payment data is handled exclusively by Razorpay, who are certified to the highest payment industry security standards.

Acceptable use

You agree to use PayTrace only for lawful purposes and in accordance with these terms. The following activities are prohibited and may result in immediate account termination and, where applicable, reporting to the relevant authorities.

Prohibited activities

You must not attempt to access, probe, or test the security of PayTrace's systems or infrastructure, including the reconciliation API, the database, or any supporting services. You must not attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of any part of the PayTrace platform. You must not introduce malicious code, scripts, or automated tools designed to interfere with the normal operation of the service or to place an unreasonable load on the infrastructure.

You must not use PayTrace to process data that you do not have the legal right to upload and process. You are responsible for ensuring that you have appropriate authorisation to handle the order and remittance data contained in the files you upload, and that doing so does not violate any applicable law, regulation, or third-party agreement. You must not use PayTrace to facilitate fraud, misrepresentation, or any activity that is unlawful under Indian law or any other applicable jurisdiction.

You must not create multiple accounts for the purpose of extending free trial access, circumventing subscription requirements, or any other purpose that is designed to obtain use of the service without appropriate payment. Any accounts created in violation of this restriction may be terminated without notice and without refund of any amounts paid.

Your responsibility for uploaded content

You are solely responsible for the files you upload to PayTrace and for ensuring that you have the right to process the data contained within them. PayTrace is not responsible for the content of files you upload and does not review, validate, or retain uploaded file content beyond the processing necessary to generate your reconciliation output.

Your data and content

You retain full ownership of all data contained in the files you upload to PayTrace. By uploading files to the service, you grant PayTrace a limited, non-exclusive, temporary licence to process those files solely for the purpose of generating your reconciliation output. This licence exists only for the duration of the processing operation and terminates the moment processing is complete and the results are returned to your browser. PayTrace does not acquire any ownership interest in your data.

As described in our Privacy Policy, raw file contents are processed in memory and are never stored in any persistent form. Upon completion of each run, PayTrace stores a compact audit summary to your account record — comprising aggregate figures only (total orders, flag counts, total shortfall amount) alongside your courier and brand label. No individual order references, AWB numbers, or customer data from your files are included in this stored summary. PayTrace does not use the contents of your files for any purpose other than the reconciliation you have requested, and does not share your file contents with any third party. The reconciliation results generated from your files belong to you, and you may use them for any lawful purpose including filing disputes with courier partners, conducting internal financial reviews, and sharing with your own advisors or accountants.

You agree that you will not upload files containing data that you do not have the right to process, including data that is subject to confidentiality obligations owed to third parties, data that belongs to another business that you are not authorised to represent, or data that is protected by applicable data protection laws in a manner that would prohibit its processing through a third-party service. PayTrace relies on your representation that you have appropriate rights and authority over all data you submit to the service.

Intellectual property

PayTrace and all elements of the platform — including the reconciliation engine, the web application, the API, the report generation system, the dispute letter templates, the user interface design, the underlying algorithms, and all associated software and documentation — are the exclusive intellectual property of PayTrace and its operators. These elements are protected by applicable intellectual property laws in India and internationally.

Your subscription to PayTrace grants you a limited, non-transferable, non-exclusive licence to access and use the service for your own internal business purposes during the period of your active subscription. This licence does not include the right to copy, reproduce, distribute, sell, sublicense, or create derivative works from any part of the PayTrace platform. You may not use the PayTrace brand, logo, or any other identifying elements of the service without our prior written consent.

Feedback, suggestions, or ideas you submit to PayTrace regarding the service — including requests for new features, reports of bugs, or suggestions for improvements — may be used by PayTrace to improve the service without any obligation of attribution, compensation, or confidentiality. By submitting feedback you assign to PayTrace any rights you may have in such feedback to the extent necessary for us to use it freely.

Disclaimers and limitations

PayTrace is provided on an "as is" and "as available" basis. While we work to maintain a reliable and accurate service, we make no warranties — express, implied, or statutory — regarding the accuracy, completeness, reliability, suitability, or availability of the service or the results it generates. Reconciliation outputs are based on the data you provide and the matching rules applied by our system, and should be reviewed by you before being relied upon for financial decisions or formal dispute proceedings.

Accuracy of reconciliation results

The accuracy of PayTrace's reconciliation output depends on the quality, completeness, and format of the files you upload. PayTrace cannot detect discrepancies that are not represented in the data present in your files. If your Shopify export is incomplete, if tracking numbers are missing, or if the courier remittance file uses a format or column naming convention that our system does not recognise, the results may be incomplete or inaccurate. We continuously improve our column detection and format support, but we cannot guarantee comprehensive coverage of every possible file variation.

No financial or legal advice

The reconciliation results, dispute letter templates, and any other outputs generated by PayTrace are provided as tools to assist your own financial review process. They do not constitute financial advice, legal advice, or any professional advisory opinion. You are responsible for reviewing the results, verifying them against your own records, and making your own informed decisions about whether and how to pursue disputes with courier partners. PayTrace accepts no liability for decisions you make based on the output of the service.

Limitation of liability

To the maximum extent permitted by applicable law, PayTrace and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, loss of data, loss of business, or loss of goodwill — arising out of or in connection with your use of or inability to use the service, even if we have been advised of the possibility of such damages. Our total aggregate liability to you in connection with these terms or the service, regardless of the basis of the claim, shall not exceed the total amount you have paid to PayTrace in the three months immediately preceding the event giving rise to the claim.

Service availability

We aim to maintain high availability of the PayTrace service but cannot guarantee uninterrupted access. The service may be temporarily unavailable due to scheduled maintenance, infrastructure issues, or circumstances outside our control. We will make reasonable efforts to communicate planned downtime in advance where possible. PayTrace shall not be liable for any losses or damages arising from service unavailability, whether planned or unplanned.

Termination

You may terminate your PayTrace account at any time by contacting us at [email protected]. Upon termination, your access to the service will cease at the end of your current billing cycle if you are a paying subscriber, or immediately if you are on a free trial. Account data will be deleted from our database within 30 days of termination in accordance with our Privacy Policy.

PayTrace reserves the right to suspend or terminate your account at any time, with or without notice, if we determine that you have violated these terms, engaged in prohibited activities, provided false information during registration, or if your account poses a security or legal risk to the service or to other users. Where a termination is initiated by PayTrace for reasons other than a violation of these terms, we will provide a prorated refund of any subscription fees paid for the unused portion of your current billing cycle.

Upon termination of your account for any reason, your licence to use the service ceases immediately. Provisions of these terms that by their nature should survive termination — including intellectual property rights, disclaimers, limitations of liability, and the governing law provisions — will continue to apply after termination.

Governing law and disputes

These terms are governed by and construed in accordance with the laws of India. Any dispute, claim, or controversy arising out of or relating to these terms or your use of the PayTrace service shall be subject to the exclusive jurisdiction of the courts located in India.

Before initiating any formal dispute or legal proceedings, we encourage you to contact us at [email protected] to describe the issue and give us the opportunity to resolve it. We are committed to handling all complaints and disputes in good faith and will make reasonable efforts to reach a resolution that is fair to both parties. Most issues can be resolved quickly through direct communication, and we prefer this approach over formal proceedings wherever possible.

If a dispute cannot be resolved through direct communication, the parties agree to first attempt resolution through mediation before resorting to litigation. The mediator shall be agreed upon by both parties or, failing agreement, appointed in accordance with applicable law. Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect their rights.

Changes to these terms

We may update these terms from time to time as the service evolves, as our business changes, or as legal requirements change. When we make changes, we will update the "Last updated" date at the top of this page. For changes that materially affect your rights or obligations as a user — such as changes to payment terms, liability limitations, or acceptable use restrictions — we will notify active users by email at least 14 days before the changes take effect.

Your continued use of PayTrace after the effective date of any revised terms constitutes your acceptance of those terms. If you do not agree with revised terms, you should cancel your subscription before they take effect.
